Skilak Mesh License Agreement

Skilak Mesh ("the Software") is proprietary software owned by Skilak LLC ("Skilak"). The Software includes the smesh command-line tool, its background service, its installers and install scripts, its documentation, and any updates Skilak provides.

By downloading, installing, or using the Software, you agree to this Agreement. If you do not agree, do not download, install, or use it.

1. Definitions

  • "Personal Non-Commercial Use" means use by an individual, on devices that individual owns or controls, for their own personal projects, learning, or hobbies. It excludes any use in connection with a business, an employer, a client, freelance, contract, or consulting work, or any activity that generates or is intended to generate revenue or other commercial benefit, directly or indirectly.
  • "Organization" means any entity other than an individual, including a corporation, limited liability company, partnership, sole proprietorship, non-profit, educational institution, or government body, and their affiliates. An individual using the Software for or on behalf of an Organization, or in the course of work for one, is use by that Organization.
  • "Company License" means a separate written license from Skilak that permits use beyond Personal Non-Commercial Use.

2. Free license for personal, non-commercial use

Subject to this Agreement, Skilak grants you a free, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and run the Software in the form Skilak distributes it, solely for Personal Non-Commercial Use.

3. Use by Organizations and commercial use

Every other use of the Software requires a Company License, except the evaluation below. This includes any use by, for, or on behalf of an Organization, and any commercial use. To request one, use the request form at https://skilak.ai or email [email protected].

30-day evaluation. An Organization may install and run the Software for up to thirty (30) days from its first installation, solely to evaluate whether to obtain a Company License and not for production work. The evaluation is free and needs no approval. When it ends, the Organization must either obtain a Company License or stop using the Software and delete all copies. Each Organization may evaluate the Software once, unless Skilak agrees otherwise in writing.

Skilak may, at its sole discretion, grant a no-fee Company License to an Organization with fewer than ten (10) people, counting employees and contractors. No such license exists unless Skilak grants it in writing.

4. Restrictions

Unless a Company License expressly allows it, you may not:

  • copy the Software, except as needed to install and run it and to keep one backup copy;
  • modify, adapt, translate, or create derivative works of the Software;
  • reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction;
  • distribute, sell, rent, lease, lend, sublicense, or otherwise make the Software available to anyone else. Point others to Skilak's official download page instead;
  • operate the Software as a hosted or managed service, or for or on behalf of any third party;
  • remove or alter any proprietary notice in the Software; or
  • use the Software to conduct, facilitate, or conceal unlawful activity; to defeat security or access controls on systems you are not authorized to test; to process data you have no lawful basis or authorization to process; or in violation of export control or sanctions laws.

5. Ownership

The Software is licensed, not sold. Skilak and its licensors keep all rights, title, and interest in the Software. All rights not expressly granted are reserved. If you send Skilak feedback, Skilak may use it without obligation to you.

6. Third-party components

The Software includes third-party open-source components. Each is licensed under its own terms, and those terms are included with the Software. Nothing in this Agreement limits your rights under those licenses for those components.

7. Your data and your responsibilities

The Software runs on your computer. It does not send telemetry to Skilak. Requests go to the AI providers you configure, under your own agreements with those providers. You are responsible for your provider accounts, credentials, policy settings, and compliance obligations.

Detection is not perfect. The Software can miss sensitive data or flag harmless data. It is not a de-identification control. Skilak does not guarantee that it identifies or redacts all Protected Health Information or other regulated data. Skilak is not a HIPAA compliance certification provider, is not a Business Associate, and does not sign Business Associate Agreements.

8. Updates and termination

Skilak may release updates, and each version is licensed under the Agreement included with it. This license ends automatically if you breach this Agreement. When it ends, stop using the Software and delete all copies. Sections 4 through 11 survive termination.

9. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "WITH ALL FAULTS." SKILAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

IN NO EVENT WILL SKILAK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. SKILAK'S TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID SKILAK FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR $0 IF THE SOFTWARE WAS PROVIDED FREE OF CHARGE.

11. Governing law and general terms

This Agreement is governed by the laws of the State of Missouri, without regard to its conflict of laws principles. The state and federal courts located in Missouri have exclusive jurisdiction.

Where a signed Company License exists, it controls over this Agreement. This Agreement is the entire agreement about the free license. Skilak may revise it for future versions; a revision does not change the terms of a version you already have.
